Terms of Service

Effective date: May 17, 2026 · Last updated: May 17, 2026

These Terms of Service ("Terms") govern your access to and use of the GovSpect service available at govspect.ai (the marketing and public-information website) and app.govspect.ai (the authenticated permit and inspection management application), together with any related applications, APIs, mobile / progressive web apps, public verify pages, and respondent / applicant portal (collectively, the "Service"). The Service is provided by Scope IT Consulting LLC, a Georgia limited liability company ("Scope IT," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a government agency, business, or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If a separately executed written master services agreement, subscription agreement, task order, or government contract is in place between your organization and Scope IT for the Service, that signed agreement governs and will supersede these Terms to the extent of any conflict.

1. Definitions

"Agency" means a state, local, tribal, territorial, or federal regulatory agency — or any other government entity, business, or organization — that registers as a customer to use the Service. "Customer Data" means information that an Agency, its staff, applicants, respondents, licensees, or members of the public provide through the Service. "User" means any individual authorized to access the Service, including Agency administrators, staff, applicants, respondents, licensees, and members of the public who use a public verify page. "Tenant" means the Agency's isolated configuration and data on the shared multi-tenant deployment of the Service.

2. Eligibility & accounts

You must be at least 18 years old and have the authority to enter into a binding agreement to register an Agency on the Service. Agency administrators and staff authenticate using a GovSpect-issued email and password, by Google Sign-In (where enabled and allow-listed), or by the Agency's enterprise identity provider via Single Sign-On (SAML 2.0 or OpenID Connect). Members of the public who use an applicant or respondent portal create a portal account (email + password, with self-service password reset).

You are responsible for maintaining the confidentiality of authentication credentials issued to your Agency, for configuring multi-factor authentication and Single Sign-On at the level your risk posture requires, and for all activity that occurs under your Agency's account. You must promptly notify us at support@govspect.ai of any unauthorized use.

3. The Service

GovSpect is a multi-tenant Software-as-a-Service platform purpose-built for state and local regulatory agencies. Functionality may include case management; field inspections with offline capture, GPS, photos, and e-signatures; violations and citations; document templates with approval workflows; lab samples and chain-of-custody; certificate issuance with QR-coded PDFs and a public verify page; enforcement actions, civil penalties, and appeals; quarantine zones with GIS overlays; a configurable permitting suite (applicant portal, staff review queue, issuance, fee payment, inspection linking); time tracking; dashboards and reports; an authenticated respondent / applicant portal; records-retention governance with legal holds; operations monitoring; and a Platform Admin Console available to Scope IT for tenant onboarding, suspend/restore, and cross-tenant audit. We may add, modify, or remove features over time, with notice for material changes that adversely affect existing features.

The Service is delivered from a shared production deployment with application-layer tenant isolation. A single-tenant deployment is available as a procurement option for Agencies with strict data-residency or compliance requirements.

4. Fees & payment

Subscription fees, billing periods, and any free-trial or pilot terms applicable to your Agency are described in your order, statement of work, task order, or subscription agreement. Unless otherwise stated: subscription fees are billed in advance, are non-refundable, and are exclusive of taxes. Fees may be increased upon renewal with prior written notice. Late payments may result in suspension of the Service after written notice and a cure period required by your governing agreement.

5. Agency responsibilities

The Agency is responsible for:

6. Applicant, respondent & regulated-party data

The Agency is the controller of all information about its staff, applicants, respondents, licensees, permit-holders, and members of the public processed through the Service. Scope IT acts as a processor / service provider on behalf of each Agency. The Agency represents and warrants that it has the legal right to provide all Customer Data, including any personal, financial, parcel / property, or regulatory information, to the Service for the purposes described in our Privacy Policy, and that it has issued any privacy disclosures, system-of-records notices, or other regulatory disclosures required of it.

Children's data, where collected as part of a regulatory program, is the Agency's responsibility. The Agency is responsible for obtaining the verifiable parental consent required by the U.S. Children's Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA, if applicable), state laws, and any analogous laws in other jurisdictions where the Agency operates.

7. Payments & fee collection

Where the Agency has enabled online payments, GovSpect processes permit fees, application fees, civil penalties, and convenience fees through Stripe. Payment-card information is entered into Stripe's hosted Checkout page; Scope IT does not see, store, or transmit raw payment-card numbers. The Agency is responsible for:

Convenience fees, processor fees, and any payment-related disputes are governed by the Agency's agreement with Stripe (or the Agency's chosen external processor). Scope IT is not a party to the Agency's payment-processor agreement and is not a money transmitter or a payor of record.

8. SMS & email communications

The Service can send transactional email and, where enabled, SMS to applicants, respondents, licensees, and staff who have opted in. The Agency is responsible for obtaining and documenting opt-in consent in accordance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Cellular Telecommunications and Internet Association (CTIA) guidelines, the rules of any applicable A2P 10DLC registration, and any other applicable communications laws. The Agency agrees that:

Standard message and data rates apply to recipients. Carrier fees and message-delivery fees are passed through as part of the Service's fees or billed separately, as described in your order.

9. Acceptable use

You agree not to, and not to permit any User to:

10. Customer Data & ownership

As between you and Scope IT, the Agency owns its Customer Data. The Agency grants Scope IT a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Data solely as necessary to provide and improve the Service, comply with law, and enforce these Terms.

Aggregated and de-identified data that cannot reasonably be used to identify a person, Agency, applicant, respondent, licensee, or staff member may be used by Scope IT for product improvement, analytics, and benchmarking. We do not use Customer Data to train third-party generative-AI systems.

11. Intellectual property

Scope IT and its licensors own all rights, title, and interest in and to the Service, including all software, designs, trademarks, logos, documentation, and improvements. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your Agency's own internal operations during your subscription term. No rights are granted by implication, estoppel, or otherwise.

If you provide feedback or suggestions about the Service, you grant Scope IT a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service without obligation to you.

12. Confidentiality

Each party agrees to protect the other party's non-public information that is marked or would reasonably be understood to be confidential ("Confidential Information") with at least the same care it uses to protect its own confidential information of similar importance, and not less than a reasonable standard of care. Confidential Information may be disclosed only to employees, contractors, and advisors with a need to know who are bound by similar confidentiality obligations. Confidential Information does not include information that is or becomes public other than through breach of these Terms. Nothing in this Section limits either party's compliance with open-records, freedom-of-information, public-disclosure, subpoena, or other lawful-disclosure obligations.

13. Third-party services

The Service incorporates third-party services and may integrate with additional third-party services chosen by the Agency. Third-party services are governed by their own terms; we are not responsible for any third-party service's availability, security, or accuracy. We currently rely on the following third-party services to operate the Service: the hosting platform (Replit Deployments, Replit-managed Postgres, Replit Object Storage), our email delivery provider, our SMS delivery provider, Stripe (payments), Google (Maps link-out, Google Sign-In where enabled, Google Workspace as an OIDC identity provider where the Agency uses it), Sentry (crash and exception monitoring), and optional Agency-configured integrations such as ArcGIS / county GIS feature services, state license registries (e.g. Kelly Registration Systems), USDA PCIT, and accredited diagnostic laboratories.

14. Service availability

We will use commercially reasonable efforts to keep the Service available. GovSpect targets 99.5% monthly availability for the standard shared production instance. For Agencies requiring 99.9% monthly availability, the single-tenant deployment option can be paired with an enhanced support tier; the higher target is a contractual commitment with defined service credits as set out in a separately executed service-level agreement. Availability excludes scheduled maintenance windows announced at least 7 calendar days in advance, force-majeure events, and outages of the underlying hosting platform that exceed the platform's own published SLA. Unless otherwise agreed in a separate written service-level agreement, no specific availability percentage or response time is guaranteed beyond the foregoing.

15. Warranty disclaimer

Except as expressly stated in a written agreement signed by Scope IT, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Scope IT does not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.

16. Limitation of liability

To the maximum extent permitted by law, in no event will Scope IT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, even if advised of the possibility of such damages. Scope IT's aggregate liability arising out of or related to the Service or these Terms will not exceed the fees paid by you to Scope IT for the Service during the twelve months preceding the event giving rise to liability. The foregoing limitations apply to the maximum extent permitted by law, and do not limit any liability that cannot be limited under applicable law.

17. Indemnification

To the extent permitted by applicable law (and subject to any limitations on indemnification applicable to a government Agency under state, local, or federal law — see Section 21), the Agency will defend, indemnify, and hold harmless Scope IT and its officers, directors, employees, and agents from and against any third-party claim, demand, loss, liability, damage, cost, and expense (including reasonable attorneys' fees) arising out of or related to: (a) the Agency's Customer Data or its provision to the Service; (b) the Agency's use of the Service in violation of these Terms or applicable law; (c) the Agency's failure to obtain required consents for SMS, email, or processing of applicant, respondent, licensee, or member-of-the-public data; (d) the Agency's regulatory decisions, including the issuance, denial, suspension, or revocation of a permit, license, certificate, or enforcement order; or (e) any dispute between the Agency and an applicant, respondent, licensee, staff member, or third party.

18. Term & termination

These Terms apply for the duration of your Agency's subscription. Either party may terminate for the other party's material breach if the breach is not cured within thirty (30) days after written notice, or immediately if the breach is not curable. We may suspend or terminate the Service immediately for non-payment, security risks, or violations of acceptable use, in each case subject to the notice and cure provisions of your governing written agreement.

Upon termination, the Agency's right to access the Service ends. We will retain Customer Data for a reasonable period (typically thirty (30) days) to allow the Agency to export it using the Service's Export Center or evidence-package builder, after which we will delete or anonymize it, subject to legal retention obligations and any then-active legal hold.

19. Modifications to the Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide additional notice to Agency administrators by email or in-product notice at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

20. Governing law & disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Gwinnett County, Georgia, for any dispute that is not subject to arbitration or that may be brought in court under these Terms. If the Agency is a unit of state, local, tribal, territorial, or federal government, governing law and venue are as set forth in the governing written agreement (or, in the absence of such an agreement, as required by the Agency's enabling law).

21. Government customers

If the Agency is a unit of state, local, tribal, territorial, or federal government, the following provisions apply and supersede any conflicting provision in these Terms only to the extent required by applicable law:

22. General provisions

Entire Agreement. These Terms, together with the Privacy Policy and any order, statement of work, task order, BPA call, or master services / subscription agreement, are the entire agreement between you and Scope IT regarding the Service and supersede all prior agreements on the subject. A separately executed written agreement governs and will supersede these Terms to the extent of any conflict.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

No Waiver. Failure to enforce any right or provision is not a waiver of that right or provision.

Force Majeure. Neither party is liable for failures caused by events beyond reasonable control (e.g., natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, third-party failures, government actions).

Notices. Notices to Scope IT must be sent to the address below; notices to you may be sent by email to your Agency's administrator or in-product.

Independent Contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
